Please read these Terms of Service carefully before using Surgepulse ("Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms constitute a legally binding agreement between you (or the organisation you represent) and Surgepulse. You represent that you have the authority to enter into this agreement. If you are using the Service on behalf of an organisation, these Terms bind that organisation.

You must create an account to use the Service. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorised use

You may not share your account credentials or allow others to access your account. We reserve the right to terminate accounts that violate these Terms.

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Infringe any intellectual property or other rights of any party
  • Transmit spam, malware, or other harmful content
  • Attempt to gain unauthorised access to any systems or networks
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use the Service for any illegal or fraudulent purpose

We may suspend or terminate your access if we reasonably believe you have violated these restrictions.

Our IP: The Service and all associated technology, trademarks, and content are owned by Surgepulse or its licensors. Nothing in these Terms grants you any rights to our intellectual property except to use the Service as permitted.

Your content: You retain ownership of all content you create or upload through the Service. By using the Service, you grant us a limited, non-exclusive licence to host, store, and process your content solely to provide the Service to you.

Paid plans are billed in advance on a monthly or annual basis. By providing payment information, you authorise us to charge your payment method for all fees incurred. All fees are non-refundable except as required by law or as stated in our refund policy.

We may change pricing with 30 days' notice. If you do not agree to a price change, you may cancel your subscription before the change takes effect.

Either party may terminate this agreement at any time. You may cancel your account via your account settings or by contacting support. We may suspend or terminate your access immediately if you breach these Terms or if we discontinue the Service.

Upon termination, your right to use the Service ceases. We will retain your data for 30 days after termination, after which it may be permanently deleted.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Surgepulse SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

You agree to indemnify, defend, and hold harmless Surgepulse and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

These Terms are governed by the laws of the jurisdiction in which Surgepulse is incorporated, without regard to its conflict of law provisions. Any disputes shall be resolved by binding arbitration, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website at least 30 days before the change takes effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.
